Terms of Service

By accessing or using the Metrili platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Metrili Consulting Inc. ("Metrili," "we," "us," or "our").

Metrili is a software platform that provides AI powered voice automation, including:

• AI inbound receptionist for answering and handling phone calls
• AI outbound calling agent for campaigns and follow ups
• AI staff assistant for operational tasks
• Appointment booking and scheduling
• Contact and lead management
• SMS and email notifications
• Analytics and operational dashboards

Metrili is a software platform. We provide technology tools. How you use them is your responsibility.

You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Ensuring that your use of the Service complies with all applicable laws and regulations
• The accuracy and legality of data you input, import, or process through the Service
• Obtaining appropriate consent from individuals before recording, transcribing, or processing their calls

You agree NOT to use the Service to:

• Engage in any illegal activity
• Harass, threaten, or abuse any person
• Send unsolicited or spam communications
• Place calls that violate Do Not Call registries or telecommunications regulations
• Misrepresent the identity of the caller or the nature of the call
• Overwhelm, disrupt, or abuse the platform infrastructure
• Attempt to access other customers' data or accounts
• Use the Service in any way that could damage Metrili's reputation or operations

Violation of these rules may result in immediate suspension or termination of your account without refund.

Important: You are solely responsible for compliance with all applicable telecommunications laws and regulations, including but not limited to:

• National and regional Do Not Call list requirements
• Call recording consent laws (one party and two party consent jurisdictions)
• Robocall and autodialer regulations
• Telemarketing rules and time of day restrictions
• Canada's Anti Spam Legislation (CASL) for SMS and email

Metrili provides tools for managing Do Not Call lists and compliance features, but responsibility for compliance rests with you.

Subscription fees are billed in advance on a monthly or annual basis. Usage based charges (call minutes, SMS, AI tokens) are billed at the end of each billing period based on actual consumption.

All fees are in US dollars unless otherwise specified. Prices may change with 30 days notice. Refunds are generally not provided for partial billing periods, but we may offer credits at our discretion.

Payment processing is handled by Stripe. By subscribing, you also agree to Stripe's terms of service.

AI generated responses, transcriptions, and summaries may be inaccurate, incomplete, or contextually inappropriate. You are responsible for reviewing and validating AI outputs where accuracy is important to your business decisions or communications.

Metrili continuously improves its AI capabilities but does not guarantee the accuracy, reliability, or suitability of AI generated content for any particular purpose.

The Service may experience interruptions, delays, or errors. Metrili does not guarantee uninterrupted or error free operation. The Service is provided "as is" and "as available."

We are not responsible for service interruptions caused by third party providers, internet connectivity issues, or circumstances beyond our reasonable control. We may perform scheduled or emergency maintenance that temporarily affects availability.

To the maximum extent permitted by applicable law:

• Metrili shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Metrili in the 12 months preceding the claim
• We are not liable for any losses resulting from your failure to comply with applicable laws, including call recording and telemarketing regulations
• Metrili is not responsible for any loss of data, revenue, business opportunities, or operational disruptions resulting from your use of the Service, service interruptions, or AI inaccuracies

Metrili does not provide legal advice or guarantee compliance with any laws or regulations. You are solely responsible for ensuring your use of the platform complies with all applicable federal, provincial, state, and local laws, including telecommunications, privacy, and consumer protection regulations.

We recommend consulting qualified legal counsel regarding your obligations, particularly for call recording consent, outbound calling compliance, and data handling requirements in your jurisdiction.

You agree to indemnify, defend, and hold harmless Metrili Consulting Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your failure to obtain required consent for call recording or communications
• Any claim by a third party related to calls, messages, or communications you initiated through the Service

The Service, including its software, design, logos, and content, is owned by Metrili Consulting Inc. and protected by intellectual property laws. You retain ownership of the data you input into the Service.

You grant Metrili a limited license to process your data solely for the purpose of providing and improving the Service.

Either party may terminate the agreement at any time. You may cancel your subscription through the platform or by contacting us. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in prohibited conduct.

Upon termination, your right to access the Service ceases. We will retain your data for a reasonable period to allow export, after which it may be permanently deleted.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.

We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
