Affiliate Program Terms & Conditions

• You must be at least 18 years old.
• You must have a valid PayPal or Wise account to receive payouts.
• Current Metrili employees, contractors, and their immediate family members are not eligible.
• You cannot self refer (sign up as both an affiliate and a Metrili customer using the same identity, payment instrument, or household).
• You must provide accurate registration information. Fraudulent or misleading information voids your account and any pending commissions.

• One time commission of $400 CAD per successfully referred and qualified customer.
• The commission amount is the same regardless of which plan (Starter, Growth, Enterprise) the customer signs up for, and regardless of billing cycle (monthly or annual).
• No recurring commissions, one time per customer.
• No additional commission on upgrades, downgrades, plan changes, or renewals after initial conversion.
• No commission on free trials, commissions trigger only on the customer's first successful paid invoice.
• Metrili reserves the right to adjust the commission amount with 30 days' notice. Commissions already pending or approved at the time of change are honored at the original rate.

• Commissions enter a 30-day pending hold the moment the customer's first paid invoice clears.
• If the customer refunds, issues a chargeback, or cancels their subscription during the hold period, the commission is voided and removed from your balance.
• After the hold period, approved commissions are paid out weekly every Friday.
• Minimum payout threshold: $100 CAD. Balances below threshold roll forward to the next payout run.
• Payouts are issued via PayPal or Wise (your choice, set in your Rewardful dashboard).
• Payouts are issued in CAD. Rewardful handles FX conversion for international recipients.
• You are solely responsible for declaring commission income and paying any applicable taxes in your jurisdiction.

Any of the following result in immediate account termination, forfeiture of all pending commissions, and clawback of previously paid commissions attributable to the violation:

• Paid search bidding on "Metrili" or any Metrili branded term, misspelling, or trademark.
• Cookie stuffing, forced clicks, iframe injection, or any manipulation of affiliate attribution tracking.
• Spam email (including violations of CAN SPAM, CASL, GDPR, or any equivalent regional anti spam law).
• Impersonating Metrili staff, support, or official channels.
• Making false or unverified claims about Metrili's features, HIPAA/PIPEDA compliance status, clinical or business outcomes, pricing, or regulatory approval.
• Offering rebates, cashback, gift cards, or any financial incentive to signups.
• Using Metrili trademarks, logos, or brand names in domain names, social media handles, app store listings, or contexts that suggest official affiliation.
• Referring fraudulent businesses, fake accounts, or accounts that do not represent real operating businesses.
• Creating multiple affiliate accounts to game the attribution system.
• Targeting existing Metrili customers with alternate referral links.

• Metrili reserves the right to terminate any affiliate account at any time for violations, suspected fraud, or at Metrili's sole discretion.
• Terminated affiliates forfeit all pending and unpaid commissions.
• In cases of confirmed fraud or chargeback abuse, Metrili may claw back previously paid commissions.
• You may close your affiliate account at any time. Commissions approved prior to closure will be paid out per normal terms.

• Metrili reserves the right to modify commission rates, payout terms, cookie window, hold periods, or program rules at any time.
• Material changes will be communicated via email with 30 days' notice.
• Commissions already pending or approved are honored under the terms in effect at the time of conversion.
• Metrili may pause or terminate the entire affiliate program with 30 days' notice.

• Metrili is not liable for lost earnings arising from technical issues with tracking, cookie blocking, third party ad blockers, or failure of the Rewardful platform.
• Affiliate earnings are not guaranteed.
• In no event shall Metrili's total liability to any affiliate exceed the total commissions paid to that affiliate in the 12 months preceding the claim.

You participate in the Metrili Affiliate Program as an independent contractor, not as an employee, agent, partner, or joint venturer of Metrili.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
